THIS SERVICE IS FOR ADULTS ONLY (YOU MUST BE AT LEAST 18 YEARS OLD).  americanspiritsingles.com Service ("americanspiritsingles.com" or the "Service") is a way for single adults to meet one another online.  americanspiritsingles.com is provided by SpiritSingles.com, Inc., located at 6340 PineTree Drive, Miami Beach, FL  33141.

This is a legal agreement ("Agreement") between you and SpiritSingles.com, Inc.  Please read the Agreement carefully or consult with your attorney before registering for the americanspiritsingles.com online Service.  By registering for americanspiritsingles.com you become a member of the Service (a "Member"), and you agree to be bound by the terms and conditions of this Agreement (the "Terms") for as long as you continue to be a Member.  If you do not agree with the Terms, please do not register for the Service.

The Terms are subject to change by SpiritSingles.com, Inc. at any time, effective upon notice to you.  Minors, as defined by your respective legal residences, may not become members.  When you register, and from time to time thereafter, SpiritSingles.com, Inc. will require that you provide sufficient information to indicate that you are at least 18 years old.  By becoming a Member, you represent and warrant that you are least 18 years old.

Either you or SpiritSingles.com, Inc. may terminate your SpiritSingles.com membership at any time after the expiration of your initial subscription, for any reason, effective upon sending written notice to the other party.  SpiritSingles.com, Inc. reserves the right to immediately suspend or terminate your access to the americanspiritsingles.com Service, without notice, upon any breach of this Agreement by you, which is brought to SpiritSingles.com, Inc.’s attention.

Your membership in the americanspiritsingles.com Service is for your sole, personal use.  You may not authorize others to use your membership, and you may not assign or otherwise transfer your account to any other person or entity.

Online Conduct.  As a member, you agree that:

You are solely responsible for the content or information you publish or display (hereinafter, "post") on the americanspiritsingles.com Service, or transmit to other americanspiritsingles.com Members.

You will not post on the americanspiritsingles.com Service, or transmit to other americanspiritsingles.com Members or employees, any defamatory, inaccurate, abusive, obscene, profane, offensive sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party’s rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity).

You will use the americanspiritsingles.com Service in a manner consistent with any and all applicable federal and state laws and regulations.  You will not include in your profile any telephone numbers, street addresses, last names, URL’s, E-mail addresses, offensive anatomical or sexual references, or offensive sexually suggestive or connotative language, and you will not post any photos containing nudity or personal information.  SpiritSingles.com, Inc. reserves the right, but has no obligation to reject any profile or photo that does not comply with these prohibitions.

You will not engage in advertising to, or solicitation of, other Members to buy or sell any products or services through the Service.  You will not transmit any chain letters or junk E-mail to other americanspiritsingles.com Members.

You will not post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.

You are solely responsible for your interactions with other americanspiritsingles.com Members.  SpiritSingles.com, Inc. reserves the right, but has no obligation, to monitor disputes between you and other Members.

Illegal or Harmful Use.  You may use the Services only for lawful purposes.  Transmission, distribution, sale, or storage of any material in violation of any applicable law, regulation, or these Terms is prohibited. The following non-exhaustive list details the kinds of illegal or harmful conduct are prohibited.  SpiritSingles.com, Inc. reserves the right to restrict or prohibit any and all uses of the Services or content on your profile(s) and to edit or remove such materials from its Service without explanation, that SpiritSingles.com, Inc. determines in its sole discretion is harmful to its Service, reputation, good will, other SpiritSingles.com, Inc. customers, or any third party.

Infringement.  Infringement of intellectual property rights or other proprietary rights including, without limitation, material protected by copyright, trademark, patent, trade secret, or other intellectual property right used without proper authorization.  Infringement may result from, among other activities, the unauthorized copying and posting of pictures, logos, software, articles, musical works, and videos.

Offensive Materials.  Transmission, disseminating, sale, storage or hosting material that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory or otherwise objectionable.

Harmful Content.  Disseminating or hosting harmful content including, without limitation, viruses, Trojan horses, worms, time bombs, cancelbots or any other computer programming routines that may damage, interfere with, surreptitiously intercept or expropriate any system, program, data or personal information.

SYSTEM AND NETWORK SECURITY AND INTEGRITY.  Violations of SpiritSingles.com, Inc.'s server, system or network security through the use of the Services are prohibited, and may result in criminal and civil liability.  SpiritSingles.com, Inc. has the right, but is not obligated, to investigate incidents involving such violations.  SpiritSingles.com, Inc. has the right, but is not obligated, to involve and cooperate with law enforcement if a criminal violation is suspected.  Examples of server, system or network security violations include, without limitation, the following:

Hacking.  Unauthorized access to or use of data, systems, server or networks, including any attempt to probe, scan or test the vulnerability of a system, server or network or to breach security or authentication measures without express authorization of the owner of the system, server or network.

Interception. Unauthorized monitoring of data or traffic on any network, server, or system without express authorization of the owner of the system, server, or network.

Intentional Interference. Interference with service to any user, host or network including, without limitation, mail bombing, news bombing, other flooding techniques, deliberate attempts to overload a system, broadcast attacks and any activity resulting in the crash of a host.  Intentional interference also means the use of any kind of program/script/command, or send messages of any kind, designed to interfere with a user's terminal session, via any means, locally or by the Internet.

Falsification of Origin.  Forging of any TCP-IP packet header, e-mail header or any part of a message header.  This prohibition does not include the use of aliases or anonymous remailers.

Avoiding System Restrictions.  Using manual or electronic means to avoid any use limitations placed on the Services such as timing out.

E-MAIL.  You may not distribute, publish, or send any of the following types of e-mail:

(A)       Unsolicited promotions, advertising or solicitations (commonly referred to as "spam"), including, without limitation, commercial advertising and informational announcements, except to those who have explicitly requested such e-mails.

(B)       Commercial promotions, advertising, solicitations, or informational announcements that contain false or misleading information in any form.

(C)       Harassing e-mail, whether through language, frequency, or size of messages.

(D)       Chain letters.

(E)       Malicious e-mail, including without limitation "mailbombing" (flooding a user or Web site with very large or numerous pieces of mail) or "trolling" (posting outrageous messages to generate numerous responses).

(F)       E-mails containing forged or falsified information in the header (including sender name and routing information), or any other forged or falsified information.

In addition, you may not use another Web site's mail server to relay mail without the express permission of the account holder or the Web site.  Posting the same or similar message to one or more newsgroups (excessive cross-posting or multiple-posting) also is explicitly prohibited.

Enforcement.  Investigation of Violations.  SpiritSingles.com, Inc. has the right, but is not obligated, to investigate any reported violation of this Agreement, its policies or any complaints and take any action that it deems appropriate and reasonable under the circumstance to protect its systems, facilities, customers and/or third parties.  SpiritSingles.com, Inc. will not access or review the contents of any e-mail or similar stored electronic communications except as required or permitted by applicable law or legal process.

SpiritSingles.com, Inc. reserves the right and has absolute discretion to restrict or remove from its Service any content that violates this Agreement, or related policies or guidelines, or is otherwise objectionable or potentially infringing on any third party's rights or in potential violation of any laws.  In the event of becoming aware of any possible violation by you of this Agreement, any related policies or guidelines, third party rights or laws, SpiritSingles.com, Inc. may immediately take corrective action, including, but not limited to, (a) issuing warnings, (b) suspending or terminating the Service, (c) restricting or prohibiting any and all uses of content hosted on americanspiritsingles.com, and/or (d) disabling or removing any hypertext links to third-party Web sites, any of your content distributed or made available for distribution via the Services, or other content not supplied by SpiritSingles.com, Inc. which, in SpiritSingles.com, Inc.’s sole discretion, may violate or infringe any law or third-party rights or which otherwise exposes or potentially exposes SpiritSingles.com, Inc. to civil or criminal liability or public ridicule.  It is SpiritSingles.com, Inc.'s policy to terminate repeat infringers.  The above stated rights of action, however, do not obligate SpiritSingles.com, Inc. to monitor or exert editorial control over the information made available for distribution via the Service.  In the event SpiritSingles.com, Inc. takes corrective action due to such possible violation, SpiritSingles.com, Inc. shall not be obligated to refund to you any fees paid in advance of such corrective action.

Disclosure Rights.  To comply with applicable laws and lawful governmental requests, to protect SpiritSingles.com, Inc.'s Service and customers, or to ensure the integrity and operation of SpiritSIngles.com, Inc.'s business and Service, SpiritSingles.com, Inc. may access and disclose any information it considers necessary or appropriate, including, without limitation, user profile information (i.e., name, e-mail address, etc.), IP addressing and traffic information, usage history, and content residing on SpiritSingles.com, Inc.’s Service.  SpiritSingles.com, Inc. also reserves the right to report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties.  To the extent any inconsistency exists between any terms of SpiritSingles.com, Inc.'s On-line Privacy Practices and SpiritSingles.com, Inc.'s right disclose under this section, SpiritSingles.com, Inc.'s right to disclose under this section will control.

Indemnity By Member.  You hereby release and hold harmless, and agree to indemnify, SpiritSingles.com, Inc. and its affiliates and suppliers (and their respective employees, directors, officers and representatives) against any and all claims, actions, proceedings, suits, liabilities, damages, settlements, penalties, fines, costs or expenses (including, without limitation, reasonable attorneys' fees and other litigation expenses) incurred by SpiritSingles.com, Inc. or its suppliers, arising out of or relating to (a) your violation or breach of any term, condition, representation or warranty of this Agreement or any applicable policy or guideline; (b) your improper or illegal use the Service; or (c) your violation, alleged violation, or misappropriation of any intellectual property right (including, without limitation, trademark, copyright, patent, trade secrets) or non-proprietary right of a third party (including, without limitation, defamation, libel, violation of privacy or publicity).

Online Content.  Opinions, advice, statements, offers, or other information or content made available through the americanspiritsingles.com service are those of their respective authors and not of SpiritSingles.com, Inc., and should not necessarily be relied upon. Such authors are solely responsible for such content.

SpiritSingles.com, Inc. does not guarantee the accuracy, completeness, or usefulness of any information on the Service and neither adopts nor endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made by parties other than SpiritSingles.com, Inc. Under no circumstances will SpiritSingles.com, Inc. be responsible for any loss or damage resulting from anyone’s reliance on information or other content posted on the americanspiritsingles.com Service, or transmitted to americanspiritsingles.com Members.

Warning – Please Read: It is possible that other americanspiritsingles.com Members or users (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials on the americanspiritsingles.com Service and that you may be involuntarily exposed to such offensive and obscene materials.

It is also possible for others to obtain personal information about you due to your use of the Service, and that the recipient may use such information to harass or injure you.  SpiritSingles.com, Inc. is not responsible for the use of any personal information that you may choose to disclose on the Service.  Please carefully select the type of information that you post on the americanspiritsingles.com Service or release to others.

SpiritSingles.com, Inc. reserves the right, but has no obligation, to monitor the materials posted in the public areas of the americanspiritsingles.com Service.  SpiritSingles.com, Inc. shall have the right, but not the obligation, to remove any such material that violates, or is alleged to violate, the law, or this Agreement.  Notwithstanding this right of SpiritSingles.com, Inc., you remain solely responsible for the content of the materials you post in the public areas of the Service and in your private email messages.  Emails sent between you and other americanspiritsingles.com Members that are not readily accessible to the general public will be treated as private by SpiritSingles.com Inc. to the extent required by applicable law.

Proprietary Rights.  SpiritSingles.com owns and retains other proprietary rights in the americanspiritsingles.com Service. The Service contains the copyrighted material, trademarks, and other proprietary information of SpiritSingles.com, Inc. and its licensors and licensees.  In addition, other Members may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted.  Except for that information which is in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

By posting information or content to any public area of americanspiritsingles.com, you automatically grant and represent and warrant that you have the right to grant to SpiritSingles.com, Inc. and its Members a non-exclusive, worldwide, and royalty-free license, to edit, modify, adapt, translate, exhibit, publish, transmit, participate in the transfer of, reproduce, create derivative works from, distribute, perform, display, and otherwise use your content as necessary for the purposes of rendering and operating the Services to you under this Agreement.  You expressly (a) grant to SpiritSingles.com, Inc. a license to cache materials distributed or made available for distribution via the Service, including content supplied by third parties, and (b) agree that such caching is not an infringement of any of your intellectual property rights or any third party's intellectual property rights.

Information Supplied By Member.  SpiritSingles.com, Inc. will keep confidential all information supplied by you to SpiritSingles.com, Inc., including credit card number(s), and shall use or disclose such information only for the purposes for which such information was collected, or as required by law.  Please see the Privacy Statement for more detailed information concerning confidentiality.

Complaints.  To resolve a complaint regarding the americanspiritsingles.com Service, you should first contact americanspiritsingles.com Customer Support at info@americanspiritsingles.com. 

Disclaimer of Warranty.  SpiritSingles.com, Inc. provides the americanspiritsingles.com Service on an "AS IS" basis and grants no warranties of any kind, expressed, implied or statutory, in any communication with SpiritSingles.com, Inc. or its representatives, or otherwise with respect to the Service.  SpiritSingles.com, Inc. specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.  SpiritSingles.com, Inc. does not warrant that your use of americanspiritsingles.com Service will be secure, uninterrupted, always available, or error-free, or will meet your requirements, or that any defects in Service will be corrected.  SpiritSingles.com, Inc. disclaims liability for, and no warranty is made with respect to connectivity and availability.

Interruption of Service.  You hereby acknowledge and agree that SpiritSingles.com, Inc. and its suppliers will not be liable for any temporary delay, outages or interruptions of the Service. Further, SpiritSingles.com, Inc. shall not be liable for any delay or failure to perform its obligations under this Agreement, where such delay or failure results from any act of God or other cause beyond its reasonable control (including, without limitation, any mechanical, electronic, communications or third-party supplier failure).

You acknowledge and agree that SpiritSingles.com, Inc. exercises no control over, and accepts no responsibility for, the content of the information passing through SpiritSingles.com, Inc.'s host computers, network hubs and points of presence, or the Internet.  ALL SERVICES PERFORMED HEREUNDER ARE PERFORMED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AGAINST FAILURE OF PERFORMANCE INCLUDING, WITHOUT LIMITATION, ANY FAILURE DUE TO COMPUTER HARDWARE OR COMMUNICATION SYSTEMS. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SPIRITSINGLES.COM, INC. DOES NOT MAKE AND HEREBY DISCLAIMS, AND YOU HEREBY WAIVE ALL RELIANCE ON ANY REPRESENTATIONS OR WARRANTIES ARISING BY LAW OR OTHERWISE, REGARDING THE SERVICES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE IN TRADE.

Limitation and Exclusion of Liability.  IN NO EVENT SHALL SPIRITSINGLES.COM, INC. OR ITS SUPPLIERS HAVE ANY LIABILITY FOR UNAUTHORIZED ACCESS TO, OR ALTERATION, THEFT OR DESTRUCTION OF INFORMATION DISTRIBUTED OR MADE AVAILABLE FOR DISTRIBUTION VIA THE SERVICES THROUGH ACCIDENT, FRAUDULENT MEANS OR DEVICES.  NEITHER SPIRITSINGLES.COM, INC. NOR ITS SUPPLIERS SHALL HAVE LIABILITY WITH RESPECT TO SPIRITSINGLES.COM, INC.'S OBLIGATIONS UNDER THIS AGREEMENT OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, EVEN IF SPIRITSINGLES.COM, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE FOREGOING LIMITATION OR EXCLUSIONS MAY NOT APPLY TO YOU.  IN ANY EVENT, THE LIABILITY OF SPIRITSINGLES.COM, INC. AND ITS SUPPLIERS TO YOU FOR ANY REASON AND UPON ANY CAUSE OF ACTION SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID TO SPIRITSINGLES.COM, INC. BY YOU UNDER THIS AGREEMENT DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH SUCH CLAIM ACCRUED.  THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, TO BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATIONS, AND OTHER TORTS.  THE FEES FOR THE SERVICES SET BY SPIRITSINGLES.COM, INC. HEREUNDER HAVE BEEN AND WILL CONTINUE TO BE BASED UPON THIS ALLOCATION OF RISK.  ACCORDINGLY, YOU HEREBY RELEASE SPIRITSINGLES.COM, INC. AND ITS SUPPLIERS FROM ANY AND ALL OBLIGATIONS, LIABILITIES, AND CLAIM IN EXCESS OF THE LIMITATION STATED IN THIS SECTION. 

Limitation of Liability.  In no event will SpiritSingles.com, Inc. be liable (i) to you for any incidental, consequential, or indirect damages (including, but not limited to damages for loss of data, loss of programs, cost of procurement of substitute services or service interruptions) arising out of the use of or inability to use the americanspiritsingles.com Service, even if SpiritSingles.com, Inc. or its agents or representatives know or have been advised of the possibilities of such damages or (ii) to any person other than you.  Notwithstanding anything to the contrary contained herein, SpiritSingles.com, Inc.’s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to SpiritSingles.com, Inc. for the Service during three (3) months immediately preceding the date on which such claim accrued.

In addition, SpiritSingles.com, Inc. disclaims all liability, regardless of the form of action, for the acts or omissions of other members or users (including unauthorized users, or "hackers") of the americanspiritsingles.com Service.

SpiritSingles.com, Inc. DOES NOT SCREEN THE MEMBERS REGISTERING TO THE SPIRITSINGLES.COM SERVICE IN ANY WAY.  AS A RESULT, SPIRITSINGLES.COM, INC. WILL NOT BE LIABLE FOR ANY DAMAGES, DIRECT, OR INDIRECT, INCIDENTAL AND/OR CONSEQUENTIAL, ARISING OUT OF THE USE OF THIS SERVICE, INCLUDING WITHOUT LIMITATION, TO DAMAGES ARISING OUT OF COMMUNICATING AND/OR MEETING WITH OTHER MEMBERS OF THIS SERVICE, OR INTRODUCED TO YOU VIA THIS SERVICE.  SUCH DAMAGES INCLUDE, BUT ARE NOT LIMITED TO PHYSICAL DAMAGES, BODILY INJURY AND/OR EMOTIONAL DISTRESS AND DISCOMFORT.

Copyright Policy.  Termination of user privileges for Infringement and Contact Information for Suspected Copyright Infringement: We will terminate the privileges of any users who uses the Site to unlawfully transmit copyrighted material without a license, express consent, valid defense or fair use exemption to do so.  In particular, users who submit User Content to this Site, whether articles, images, stories, software or other copyrightable material must ensure that the content they upload does not infringe the copyrights nor other rights of third parties (such as privacy or publicity rights).  After proper notification by the copyright holder or it agent to us, and confirmation through court order or admission by the user that they have used this Site as an instrument of unlawful infringement, we will terminate the infringing user’s rights to use and/or access to this Site.  We may also in our sole discretion to terminate a user’s rights to use or access to the Site prior to that time if we have a good faith belief that the alleged infringement has occurred.

Entire Agreement.  This Agreement, and all policies and guidelines incorporated herein by reference, constitutes the entire agreement between you and SpiritSingles.com, Inc. with respect to the subject matter hereof and there are no representations, understandings or agreements which are not fully expressed in this Agreement and the related policies and guidelines.

No Fiduciary Relationship.  SpiritSingles.com, Inc. is not the agent, fiduciary, trustee or other representative of you.  Except for the rights of SpiritSingles.com, Inc.'s suppliers set forth herein, nothing expressed or mentioned in or implied from this Agreement is intended or shall be construed to give to any person other than the parties hereto any legal or equitable right, remedy or claim under or in respect to this Agreement.  This Agreement and all of the representations, warranties, covenants, conditions and provisions hereof are intended to be and are for the sole and exclusive benefit of the parties hereto.

Choice of Law and Forum.  THIS AGREEMENT WILL BE GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF FLORIDA, WITHOUT REFERENCE TO RULES GOVERNING CHOICE OF LAWS. ANY ACTION RELATING TO THIS AGREEMENT MUST BE BROUGHT IN THE FEDERAL OR STATE COURTS LOCATED IN MIAMI-DADE COUNTY, FLORIDA, AND YOU IRREVOCABLY CONSENT TO THE JURISDICTION OF SUCH COURTS.

Compliance With Laws.  You shall at all times comply with all applicable laws and regulations in your use of the Service and shall indemnify and save SpiritSingles.com, Inc. harmless from your failure to so comply.  You agree that SpiritSingles.com, Inc. shall not have to perform any obligations set forth in this Agreement if such performance would violate any present or future law, regulation or policy of any applicable government.

Non-Assignment.  You may not assign this Agreement or any right or obligation hereunder, by operation of law or otherwise, without SpiritSingles.com, Inc.'s prior written consent. SpiritSingles.com, Inc. may assign its rights and obligations under this Agreement, and may utilize affiliates and/or agents in performing its duties and exercising its rights hereunder, without your consent.  Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns.

No Waiver.  SpiritSingles.com, Inc.'s failure to enforce the strict performance of any provision of this Agreement will not constitute a waiver of SpiritSingles.com, Inc.'s right to subsequently enforce such provision or any other provisions hereunder.

Severability.  In the event that any term or provision hereof is deemed invalid, void or unenforceable either in its entirety or in a particular application, the remainder of this Agreement shall nonetheless remain in full force and effect and, if the subject term or provision is deemed to be invalid, void or unenforceable only with respect to a particular application, such term or provision shall remain in full force and effect with respect to all other applications.

Headings.  The section headings used herein are for reference and convenience only and shall not enter into the interpretation hereof.

Survival.  All provisions of this Agreement relating to your warranties, intellectual property rights, limitation and exclusion of liability, your indemnification obligations and payment obligations shall survive the termination or expiration hereof and thereof.
